Cousins Manufacturing Terms and Conditions for all orders

1. General Terms and Conditions

   Buyer hereby agrees by sending Cousins Manufacturing Inc. Located at 43734 Merrill Rd,

Sterling Heights MI 48314 a purchase order, that it is the policy of Cousins Manufacturing Inc.

Located at 43734 Merrill Rd, Sterling Heights MI 48314, to deliver the requested service on

time, in accordance with the terms and conditions of the original Buyer Purchase Order unless

the following conditions occur: 1. Buyer has outstanding invoices that exceed the 15 day grace

period of Cousins Manufacturing Inc. Located at 43734 Merrill Rd, Sterling Heights MI 48314,

located in Paragraph 2. Titled “Late Fees” Within this document. 2. If the buyer has a history of

late payments with Cousins Manufacturing Inc. Located at 43734 Merrill Rd, Sterling Heights MI

48314, (More than 2 late payments) that is 1 day past the 15 day grace period of the Buyers

original purchase order net terms. Buyer agrees to Cousins Manufacturing Inc. Located at

43734 Merrill Rd, Sterling Heights MI 48314, withholding in process services, purchase orders,

and all work related to buyer, including but not limited to alterations or reworks of any Buyer

purchase orders, until the Buyer has paid all late invoices in full that are past the Cousins

Manufacturing Inc. Located at 43734 Merrill Rd, Sterling Heights MI 48314, 15 day grace period

for payment.

2. Late Fees

   Buyer hereby agrees by sending Cousins Manufacturing Inc. Located at 43734 Merrill Rd,

Sterling Heights MI 48314, a purchase order, that they will pay Cousins Manufacturing Inc.

Located at 43734 Merrill Rd, Sterling Heights MI 48314, within the net terms of the original

Purchase order, with a maximum grace period of 15 days. After a grace period of 15 days past

the purchase orders original net payment terms, Buyer agrees to pay an additional 4% late fee

of the original invoice amount, every 30 calendar days past the original grace period of 15 days

comes to term, billed monthly until the outstanding Invoice is paid in full. Late payments may 

be reported to credit bureaus and Duns & Bradstreet as slow pay/delinquent.

3. Discounts

   Buyer hereby agrees to an incentive of 3% off the original purchase order amount, if an inquiry

is made to David Roberts (davidroberts@cousinsmfg.com) Located at 43734 Merrill Rd, Sterling

Heights MI 48314, with the following subject title: “Early payment discount” with the subject body

reading “We are requesting a Net 10 invoice on order “*********” to be billed at the discounted

rate of 3% off for early payment”. Buyer will be responsible for paying the invoice in full, 10 days

after the invoice is postmarked or emailed from Cousins Manufacturing Inc. Located at 43734

Merrill Rd, Sterling Heights MI 48314. If Cousins Manufacturing Inc. Located at 43734 Merrill

Rd, Sterling Heights MI 48314, does not receive payment at net 10 days from Invoice date,

Buyer shall forfeit any discount given and be required to pay the full amount, within the original

purchase order terms. Discounts apply to ACH deposits only. Checks by mail are not accepted

for discounted invoices.
